Terms of Use Adsago

These Terms of Use are provided by Lodash (Thailand) Company Ltd., situated at 201/270, Lak Si, Talad Bangkhen, Bangkok Thailand. The Terms of Use of Adsago are designed to help the users of the service through Adsago.

By beginning users of Adsago, we assume that you agree to these terms of use. If you do not accept these terms of use, you will not be allowed to use it in any circumstances. By registering as a user of this website (“User”), the users must clearly agree to these terms of use.

By accessing or using this website in any way, you agree to be bound by these terms and show that you have read and fully understood all of Adsago՚s terms. Please read these terms carefully, there is information about legal rights and restrictions on your rights as well as regarding applicable law and jurisdiction. In the event of a dispute, if you do not agree to all these terms, we assume that you are not entirely licensed to use Adsago.

1. Definition

“Adsago” means a content platform for marketing online product or service pages on Facebook.
“Company”, “Us”, “Our” means Lodash (Thailand) Company Ltd., a creator and has rights under copyright, trademark and other relevant laws in all respects.
“Users”, “You” means any person registered as a user, whether General users, Advertisers, Owners of the products or services, Content Partners, Ads Partner or Graphic Designers.
“Advertisers or Owners of the products or services”, “The representative of the products or services” means the person, entity, shop that wants to create a template through Adsago in order to advertise their products or services through Facebook Ads.
“Content Partner” means those who have the knowledge and ability to write contents on the Template page must register to receive a service through Adsago.
“Graphic Designer” means designer or decor template by registering for service through Adsago.
“Ads Partner” means those who posts Ads on Facebook Ads via Adsago platform.
“Advertise”, “ADS”, “Advertising” means promoting products or services via Facebook Ads by creating a template through Adsago.
“Template” means over 700 types of content created by Adsago.
“Custom” means the design of templates and content by users through Adsago.
“Image File” means Graphics Interlace File (GIF), Joint Photographer՚s Experts Group (JPEG), Portable Network Graphics (PNG), or Tagged-Image File Format (TIFF), either the user will receive when the work is complete.

2. Register to use Adsago

Adsago grants you with unrestricted access and use, cannot assign, withdraw, restrict access. In order to fully access and use the program, the users must undergo the required registration through Adsago.
Using of Adsago, the users are only allowed to register 1 (one) user account per person, and in the user account must be personal information in particular that cannot transfer data to other people or can refer to other people
To be a registered user, you must have a password which you can set up your own password, it must be used together with your email address to log in to Adsago or have us send you the password. The passwords are personal information, must not be transferred or in any form made accessible to others, it is the responsibility of each user to ensure that they do not fall into the third party. If you know that your password encroached or may has been encroached, you must notify us and we will change the password if such case there is a risk that the password will be encroached or used to violate these terms of use.
You must provide a username by providing accurate information on the date of registration, such as an ID card, bank account, business license, etc. Adsago is able to request references to verify your identity and you agree that we will collect your personal information when you register as a user.
You will not be allowed to access or attempt to access the various parts of Adsago for registration purposes, if you are not a registered user.

3. Terms and conditions for “Adsago Users”

Agree to use Adsago for legal purposes and not against the morals of the people or the customs.
Agrees not to do anything that may violate the rights or cause damage or complication or annoyance to Adsago or other persons or act which will cause damage to Adsago.
Agree to carefully use Adsago and be aware that we does not certify or warranty the accuracy of the information, quality, and reliability, including the operator, the advertiser, the owner of the product or service, the advertisement and any instructions that directly or indirectly and whether presented by any company or individual or is the data transmission by the website, program, link, or us or by any means whether general or specific.
Agrees to review the accuracy of the information or acknowledged by Adsago, whether by advertising, invitations, suggestions, methods, notices, or any other information that appears on this program before deciding to accept the service.
Agree to accept and clearly acknowledge that we acts as a go-between to provide information and how to use Adsago between the users, the advertiser, the owners of product or service, the content partner, the graphic designers and the Ads partner only. Adsago is not considered an agent of any person and is not affiliated with any contents or information displayed or transmitted from the website, links outside of the knowledge or control of the company.
Agree to accept and clearly acknowledge that Adsago acts as a helper to liaise between the users, the content partner, the graphic designers and the Ads partner only. Adsago is not affiliated with the advertisement design services or comments or notifying users in any way.
We will not allow users to assign, subcontract or assign any other person who is not a registered user to Adsago, in any case. If we find or know, we will reserve the right to claim damages and delete the said user account immediately.

4. Terms of “The Advertiser”, “The owner of the product or service”, “The representative of the owner of the product or service”

Users who want to advertise their products or services through Adsago must own those the products or services or is a representative of the owner of the product or service that is legally appointed or licensed.
The template of products or services created by the owner will be effective only after these terms have been satisfied and Adsago՚s payment has been confirmed.
Service fees will show on the platform page, depending on the type of usage, including the option to receive additional services via Adsago for content writing or posting advertisements, etc. The advertiser of the product or service can choose to receive more than 1 service. The template creation through Adsago can be divided into 2 types as follows;
- Template (choose the format that appears on Adsago)
- Custom (create new formats as needed)
The service fee that the product owner or service is responsible will include the cost of content writing, the graphic design, the advertisement posting, and/or other expenses arising from the use of the service (if any).
The advertiser of the products or services must provide complete and accurate information about their products or services on the date of registration through Adsago. If we learn or appears that the information provided is false, we reserve the right to prosecute and claim any damages from the advertiser of the products or services, including the relevant persons. In this event the owner or the representative of the owner of the said products or services has a duty to compensate damages and any costs that occur or may occur with Adsago in all cases.
The advertiser of the product or service agrees, before accepting the creative work through Adsago, the advertiser of the product or service has completed the validation and satisfaction, which can be verified by previewing the completed work before posting.
Any products or services advertised via Adsago must be legal, whether the laws of Thailand or international laws, as well as must not violate the morals of the people, not be a product that is prohibited to advertise or a product that encourages others to break the law.
The advertiser or the representative of the owner of the products or service certifies that any action has been taken as required by law, should have to do in relation to their products or services in the event that a product or service is to be requested or must comply with the rules and regulations of a specific law or policy applicable on the date, the advertiser of the product or service has implemented through Adsago. If the advertiser of the product or service neglects or omits any action to the extent that causing damage, Adsago is not involved and is not responsible for the all damages.
The advertiser of the product or service certifies and warrants that the content, information about products or services disclosed for processing through Adsago is entirely true and is current, accurate, complete, without any distortion or false or causing a misunderstanding in that product or service.
The advertiser of the product or service hereby certifies that clicking, posting, or advertising with the template created by Adsago is lawful and does not add or change original information or image files received from Adsago. In any cases, unless the said intention has been notified to the company first.
Adsago reserves the right to allow the advertiser of the product or service to edit the content, text, image or any information that we deem to be in violation of these terms of use within 7 working days from the date of receipt of the notification.
Adsago reserves the right to accept or not accept the service and any services as it deems appropriate, at the sole discretion of the company without having to notify users.
The advertiser of the product or service will be solely responsible for the damage if it appears that the information advertised by the said product or service through Adsago is infringing or affecting the rights of others, resulting in damage to another person or the product or service being violation of the law with a fine according to any rules or regulations, which Adsago is not involved.
The advertiser of the product or service certifies that text, content, image, information created by the content provider and the graphic designers are in accordance with the intent of the advertiser of the product or service. Unless the creation is beyond the agreed, in this case, the advertiser of the product or service must immediately notify Adsago or our team of the said error. Adsago will not refund service fees or be responsible for damages resulting from the fault of the owner of the product or service, or any one of the content partner or the graphic designers.
We cannot warranty that Adsago will fully boost the sale of your products or services. The users are fully aware that Adsago is only part of chance for advertising products or services. In order to increase more interest only, the stimulation of sales of such products or services is dependent on other factors.
Under the terms of this agreement, the advertiser of the product or service is responsible for informing us if it appears that products or services advertised via Adsago are permanently or temporarily suspended, shut down or need to stop suddenly.

5. Terms of the Content Partner

The content partner must be knowledgeable in content writing and have registered through Adsago, to accepting all terms and conditions.
Content creation must be accurate, linked to the product or service in accordance with the intention agreed with the advertiser of the product or service.
The article, content, or any information written by the content provider in order to create content through Adsago must not have the following characteristics:
- Is an exaggerated advertisement inviting, convincing, and giving false information causing direct or indirect misunderstanding in the information of the products and services.
- An attack on trade competitors, having a competitive nature, satirical business, attacking politics, religion, lawsuits or social disputes.
- Is an advertisement that is illegal or good morals to hurt others or violate the rights of others, or violating the intellectual property of others.
The content partner certify that the content created through Adsago must not be added arbitrarily and unjustly, resulting in damage to the advertiser of the product or service or the company.
If the content partner cannot complete the work within the time limit due to the actions of himself, it must immediately notify the company. We reserve the right to not pay any compensation for the work that is not successful in all cases.
Providing services through Adsago, the content partner can also provide graphic design services.
The content partner through Adsago must be completed, their work within 7-14 days from the date of acceptance of work.
The fee that the content partner will receive will depend on the piece of work completed through Adsago and approved by Adsago. Writing a content through Adsago, the company assumes that you have accepted the service fee that informed before the operation.

6. Terms of the Graphic Designer

The designer must be knowledgeable in designing templates for advertising of products or services used through Adsago.
Template design through Adsago, designers will receive an AI file (Soft File) in operation, the designer certifies that all files or pieces are all copyrights and exclusive rights of Adsago and Adsago not allowed to copy, to refer, modify, exchange, sale, rent or do anything other than operations through Adsago and not for the benefit of Adsago at all.
The graphic designer certifies that the template designed and decorated is in the form chosen by the owner of the product or service and will not design or insert information or images that are distorted from the agreement.
Once the design is complete, the designer must send the preview and completed image file of the work to the owner of the product or service through Adsago.
The graphic designer cannot guarantee that the colors of the template style displayed on your computer screen will always be the same as the color displayed on the designer screen. It depends on the light intensity factor shown through the individual computer screen.
The form, image, color, code, layout, character style, display style, or other associated items that are used to create the template through Adsago may not be copied from other sources of other materials without permission or is a violation of the intellectual property of others.
If it appears that the template or image file designed through Adsago is being offered for sale or otherwise used for any purpose other than that which has been agreed or for personal commercial use without written permission from Adsago. The designer agreed to pay us for damages twice the actual damage.
If the graphic designer cannot complete the work within the time limit due to the actions of himself, it must immediately notify the company. We reserve the right to not pay any compensation for the work that is not successful in all cases.
Template designs through Adsago must be completed within 7-14 days from the date of acceptance of work.
Providing services through Adsago, the designers can also provide the content partner services.
The service fee that the designer will receive depends on the work done through Adsago and approved by Adsago. Designing of the work through Adsago, the company assumes that you have accepted the service fee that informed before the operation.

7. Terms of the Ads Partner or Advertisement

The Ads partners must have expertise in posting Ads and must know the needs and interests of customers in each product category.
The advertiser of the product or service can choose to receive ad posting services through Adsago. Template and content to advertise must be completed and created by Adsago only.
The advertiser of the product or service agrees that they have verified all information, content, images or components appearing on the template are correct and complete before posting an advertisement through Adsago.
Posting Ads through Adsago, provide by Ads partners. The advertiser of the product or service agrees to accept that the advertising press in accordance with the order created in accordance with the intention of the advertiser of the product or service itself. The company, its employees, agent or representatives of the company will not be held responsible for damages resulting from following the instructions of the advertiser of the product or service.
Posting Ads through Adsago will post to customers on Facebook page as appropriate for the type of products or services. Which can set the number of posts per day as needed. However, the service fee will be according to the chosen package.
Posting Ads through Adsago is only one part of the service, to promote the sale of products or services that have created templates and contents. The company is therefore unable to guarantee a positive response from customers.
If the company is unable to post advertisements in accordance with the instructions of the owner of the product or service due to one of the objections of www.Facebook.com, system crashes or unforeseen events, and not the company՚s fault. The company will notify the problem immediately and post Ads immediately when the problem is resolved. Which the company does not have a refund policy.
The Ads partners must complete the amount required for the advertisement of the product or service and within the agreed time.
The fee that Ads partners will receive, depend on the amount of work completed through Adsago and approved by Adsago. By posting Ads via Adsago, the company assumes that you have accepted the service fee that informed before the operation.

8. Service fee

The advertiser of the product or service will have to pay for the service fee through the Adsago system according to the package or template chosen after the entering into this agreement.
Service fee for content writing, designing templates or posting Ads through Adsago will be transferred to the account provided by the users after Adsago has been notified of job completion. The users will be able to check the user՚s account balance within 14-30 days.

9. Limitation of Liability

We will not be liable to any person caused by using our platform or Adsago data or recommendations, submitting-receiving information, links, transactions, or any other matter in connection with Adsago or the use of Adsago or the exercise of company rights in accordance with these terms or the rights that the company should have according to the law.
The user agrees to waive all civil and criminal litigation against the company, its directors, employees and/or its representatives as a result of the use of Adsago.
The company does not represent the owners of products and services, the content partners, the graphic designers or Ads partners at all. Therefore, Adsago cannot warranty or guarantee the correctness of operation of the information received by that person. The company reserves the right to all liability, directly or indirectly, we will not be liable for damages caused by delusion or disagreement or any actions caused by those people.
Adsago will not responsible for any breach of obligations or duties that are caused or resulting from direct or indirect causes beyond the control of the company, including but not limited to internet failures or errors.
Adsago does not warranty uninterrupted access to the service, continuous and/or secure. Some or all parts of the platform may not be immediately available for any duration or for any reason. This includes, but is not limited to, malfunctions and system disruptions, internet access problems and other technical issues beyond our control which the company cannot and will not be responsible in any way. The company reserves the right to close all or part of the platform connection, with or without reason, including but not limited to maintenance or system upgrades.

10. Privacy Policy

The company processes personal information that the users have agreed to disclose to the company in various ways in relation to the use of the system. The processing of personal data of the company will occur under the compliance with the privacy policy by agreeing to accept the terms of use, as if the user has confirmed that they have read and accept the privacy policy.

11. Termination of Rights

We may terminate the right to access and use the services on Adsago at any time for any reason without liability. If the company does so or if the user deletes the user’s account from Adsago, it will immediately terminate the rights that registered users have received under these terms of use.
Any rights under these Terms of Use, if the user violates these terms under any circumstances we may take action as it deems appropriate to suspend the said action, including suspending access to the website or program, prohibiting the user from accessing the website or program, blocking the computer using the user՚s IP address to access the website or program, contacting the internet service provider to request to block access to the website or program and/or bring the case to the court.

12. Intellectual property rights

All contents and templates used and created through Adsago, including but not limited to text, images, data, comments, database schemes, graphics, photographs, sounds or audio file formats, brand software and HTML, are the company՚s intellectual property. Which is protected by copyright and trademark laws and will not be downloaded, copied, modified, reproduced, printed or distributed in any manner unless it is a download and/or printing a copy of the said content for lawful use and not for commercial purposes or other purposes for personal gain. The users agree to be responsible for any damage that may occur as a result of an exclusive violation of copyright and/or other intellectual property laws.
All contents on the platform or program, including but not limited to intellectual property, text, features, graphics, icons, photographs, calculations, references and software, are or will be the property of the company or third-party property, as the case may be. Which will be protected in accordance with Thai and international laws in force, including but not limited to copyright laws and other relevant trademark laws.
Copying, selling, presenting or using the program or any other part that is not allowed is considered a violation of Thai law and may cause civil and/or criminal penalties.
The company names, trademarks and other business characteristics of this appearance, which is or will be the property of the company or of another person, as the case may be, must be used only for business purposes with the approval of the company or the person who owns the rights respectively.

13. Governing law

The terms of use between Adsago and the users, including any disputes or matters arising out of or occurring, will be enforced and interpreted in accordance with Thai law, regardless of conflicts of law provisions and the parties agreed to resolve the dispute by bringing the case to the court in Thailand.

14. Miscellaneous

The users acknowledge and agree that these Terms of Use constitute a complete and exclusive agreement between the users and Adsago, in the use of the website, which replaces and controls all previous offers, agreements or communications.
The company՚s failure to comply with any provisions that will be effective for users will not affect the full rights of the company to require amendments or improvements at any time afterwards. The waiver of any terms is not considered invalid or a waiver of the right to that provision in any way. The users cannot transfer their rights under this agreement. By doing so will be immediately considered void.
